Terms of Service

Welcome to Vroxile (“Vroxile”, “we”, “our”, or “us”). By accessing or using our software and services (the Service), you agree to be bound by these Terms of Service. If you do not agree, you must not use the Service.

1. Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any rights, guarantees, warranties, or remedies you have under the Australian Consumer Law (ACL) contained in Schedule 2 of the Competition and Consumer Act 2010 (Cth). Any rights that cannot legally be excluded remain unaffected.

2. Limitation of Liability

2.1 Resupply of Services — To the maximum extent permitted by law, where we are entitled to limit our liability under the ACL, our liability is limited (at our option) to either supplying the services again, or paying the reasonable cost of having the services supplied again.

2.2 Consequential Loss — Subject to your rights under the ACL, Vroxile is not liable for any indirect, incidental, special, or consequential loss, including loss of profits, loss of revenue, loss of business opportunities, loss of data, operational downtime, or missed sales, arising from your use of, or inability to use, the Service.

3. Subscriptions & Billing

3.1 Subscription Plans — Vroxile is provided on a subscription basis. Plans are billed either monthly or yearly, depending on the plan you choose. Subscriptions are paid in advance.

3.2 Payments — Payments are securely processed by Stripe. By subscribing, you authorise Vroxile to automatically charge your nominated payment method at the beginning of each billing cycle. You are responsible for ensuring your payment details remain current and valid.

3.3 Automatic Renewal — Subscriptions automatically renew at the end of each billing period unless cancelled beforehand. For annual subscriptions, we will send a reminder email before your renewal date in accordance with Australian consumer law requirements.

3.4 Cancellation — You may cancel your subscription at any time through your Vroxile account. If you cancel, no further subscription payments will be charged, you will continue to have access until the end of your current paid billing period, and no cancellation or exit fees apply.

4. Refunds

We do not provide refunds for change of mind. Refunds are available where required under the Australian Consumer Law.

If the Service experiences a major failure, you may be entitled to cancel your subscription and receive a proportional refund for the unused portion of your prepaid subscription.

5. Changes to the Service

5.1 Software Updates — We may modify, improve, update, or enhance the Service from time to time, including adding or removing features, improving security, or fixing issues.

5.2 Changes to Terms or Pricing — We may update these Terms or our subscription pricing. If a change materially affects your rights, obligations, or costs, we will provide at least 30 days’ written notice by email before the change takes effect.

5.3 Your Right to Cancel — If you do not agree with a material change to these Terms or our pricing, you may cancel your subscription before the change takes effect. Where applicable, you will receive a pro-rata refund for any unused prepaid subscription period.

6. Governing Law

These Terms are governed by the laws of Western Australia, Australia.

Any dispute relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Western Australia and the Federal Court of Australia sitting in Western Australia.

7. Storage & Fair Use

7.1 Unlimited Storage — Vroxile does not impose a fixed storage quota on your account. You may upload an unlimited number of receipts, job photos, and documents (each compressed to approximately 300 KB for images) subject to this Fair Use Policy.

7.2 Permitted Use — Uploaded files must be genuine business records reasonably connected to your use of the Service — receipts, job-site photographs, quote or contract documents, and similar materials arising from your trade or service business.

7.3 Fair Use Limits — You agree not to use Vroxile as a general-purpose cloud storage, media hosting, or backup service. Without limiting the generality of this clause, the following are prohibited: (a) uploading files that are not connected to a genuine job, expense, or client record within the Service; (b) automated or scripted bulk uploads; (c) storing personal media libraries, video files, or large binary assets unrelated to your trade business; and (d) using the Service to redistribute or republish third-party copyrighted material.

7.4 Acceptable File Types — On the Free and Starter plans, uploads are restricted to JPEG, PNG, and PDF formats. The Pro plan additionally accepts WebP and HEIC. Files outside these permitted types will be rejected at upload.

7.5 Monitoring & Enforcement — We reserve the right to monitor aggregate storage usage across accounts for the purpose of detecting abuse. If we determine, in our reasonable discretion, that your usage materially exceeds what a typical business of your kind would generate through genuine use of the Service, we will contact you to discuss your needs. If the usage cannot be reconciled with genuine business activity and you do not remedy it within 14 days of notice, we may remove excess files or suspend your account in accordance with the Acceptable Use Policy.

7.6 No Warranty of Perpetual Storage — While we take reasonable steps to preserve your data, Vroxile is not a backup service. You remain responsible for maintaining independent copies of documents critical to your business. Vroxile excludes liability for loss of uploaded files to the maximum extent permitted by the Australian Consumer Law.
